Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the Nexi Chrome extension ("Extension", "Service", or "Nexi"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Extension.

These Terms constitute a legally binding agreement between you and Nexi ("we", "us", or "our") regarding your use of the Extension.

2. Description of Service

Nexi is a Chrome browser extension that provides an interface to access multiple AI language models including ChatGPT (OpenAI), Claude (Anthropic), and Gemini (Google). The Extension allows you to:

• Interact with AI models from any webpage
• Select and process text with AI assistance
• Use context-aware templates for common tasks
• Manage conversations with multiple AI providers

3. Third-Party AI Services

You must comply with the terms of service of each AI provider you use:

• OpenAI Terms of Use
• Anthropic Consumer Terms
• Google Terms of Service

We are not responsible for any issues arising from your use of third-party AI services, including but not limited to service availability, accuracy of responses, or compliance with third-party terms.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

• Download, install, and use the Extension on devices you own or control
• Access and use the Extension's features for personal or internal business purposes

This license does not grant you any rights to:

• Modify, adapt, translate, or create derivative works of the Extension
• Reverse engineer, decompile, disassemble, or attempt to discover the source code
• Rent, lease, sell, assign, sublicense, or otherwise transfer rights to the Extension
• Remove, alter, or obscure any proprietary notices on the Extension
• Use the Extension for commercial redistribution or to build a competitive product

5. User Content and Data Ownership

You retain all rights to any content, prompts, or data you submit through the Extension ("User Content"). By using the Extension, you grant us a limited license to process your User Content solely for the purpose of:

• Transmitting your requests to your chosen AI service providers
• Displaying AI-generated responses to you within the Extension
• Providing technical support when you request assistance

You represent and warrant that:

• You own or have the necessary rights to all User Content you submit
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws

6. User Accounts and Authentication

To use AI features in Nexi, you must have valid accounts with the AI service providers you wish to access. You are responsible for:

• Maintaining the security of your AI provider account credentials
• All activities that occur under your accounts
• Complying with the terms and policies of each AI provider
• Any fees or charges imposed by AI service providers

7. Age Requirements and Eligibility

You must be at least 13 years old to use Nexi. If you are under 18 years old (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian to use the Extension.

Additionally, each AI service provider has its own age requirements:

• OpenAI (ChatGPT): Requires users to be at least 13 years old (18+ in some jurisdictions)
• Anthropic (Claude): Requires users to be at least 18 years old
• Google (Gemini): Age requirements vary by region and service

You are responsible for ensuring you meet the age and eligibility requirements of each AI service you use through Nexi.

8. AI-Generated Content Disclaimer

You acknowledge and agree that:

• AI responses are generated by third-party services and not by Nexi
• AI-generated content should not be relied upon as professional advice (legal, medical, financial, etc.)
• You are solely responsible for verifying the accuracy of AI-generated content before use
• You should not make critical decisions based solely on AI-generated content
• AI models may produce outputs that are offensive, harmful, or factually incorrect
• Nexi is not liable for any damages resulting from your use of AI-generated content

9. Acceptable Use Policy

You agree not to use Nexi to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Generate, distribute, or facilitate harmful, abusive, or illegal content
• Harass, threaten, or harm others
• Attempt to circumvent security measures or access restrictions
• Reverse engineer, decompile, or disassemble the Extension
• Use automated systems to access the Extension in ways that exceed reasonable human usage
• Interfere with or disrupt the Extension or servers
• Impersonate any person or entity
• Collect or harvest user information without consent

10. Intellectual Property

The Extension and its original content, features, and functionality are owned by Nexi and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to content you create using the Extension. However, content generated by AI models is subject to the terms of the respective AI service providers.

11. Disclaimer of Warranties

• We do not warrant that the Extension will be uninterrupted, secure, or error-free
• We do not warrant the accuracy, completeness, or reliability of AI-generated content
• We are not responsible for the availability or functionality of third-party AI services
• You use the Extension at your own risk

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Extension
• Any conduct or content of third parties using the Extension
• Unauthorized access to or alteration of your transmissions or data
• AI-generated content or decisions made based on such content
• Third-party AI service interruptions or changes

13. Indemnification

You agree to indemnify, defend, and hold harmless Nexi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Extension
• Your violation of these Terms
• Your violation of any rights of another party
• Your use of third-party AI services

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Extension (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Extension.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Extension after changes constitutes acceptance of the updated Terms.

You are advised to review these Terms periodically for any changes. If you do not agree to the modified Terms, you must stop using the Extension.

16. Termination

We may terminate or suspend your access to the Extension immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your use of the Extension at any time by uninstalling it from your browser.

Upon termination, your right to use the Extension will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Nexi operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Extension shall be resolved through binding arbitration in accordance with the applicable arbitration rules, except that either party may seek injunctive relief in court for matters relating to intellectual property.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nexi regarding the Extension and supersede all prior agreements and understandings.
